By accessing or using ClientVoice ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

ClientVoice is a testimonial collection and management platform that allows businesses to:

• Collect text and video testimonials from customers
• Manage and organize testimonials
• Create embeddable widgets to display testimonials on websites
• Customize the appearance of testimonial displays
• Share testimonials across various platforms

3. User Accounts

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payments

Some features of our Service require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide valid payment information
• Authorize us to charge your payment method on a recurring basis

Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription will automatically renew unless cancelled before the renewal date.

Refunds: Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period.

Price Changes: We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

5. User Content

You retain ownership of all content you submit to our Service, including testimonials, images, videos, and other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content solely for the purpose of operating and providing the Service.

You represent and warrant that:

• You own or have the necessary rights to use and authorize use of User Content
• User Content does not violate any third-party rights
• You have obtained proper consent from individuals featured in testimonials
• User Content is accurate and not misleading

6. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Post false, misleading, or fabricated testimonials
• Infringe upon intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Harass, abuse, or harm others
• Send spam or unsolicited communications
• Collect user information without consent

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by ClientVoice and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your settings.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLIENTVOICE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless ClientVoice and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use our Service after those revisions become effective, you agree to be bound by the revised terms.
